Every time executives want to authorize a buyback, this decision should go to a proxy vote. In my mind, this rule should have been implemented long before the buyback binge even got started.

I used to work for Ace. Most Ace Hardware's are locally owned, or owned by a small franchise. They pay to get the Ace affiliation and join in on the advertising and coupons. So, depending on your local Ace, they may be fine.
