    Bigtincan Holdings Ltd. (Sidney / Australia), which is solely controlled by Vector Capital Management, L.P. (San Francisco / USA), intends to indirectly acquire 100% of the shares in and sole control over Showpad NV (Gent / Belgium) from Insight Venture Management, LLC (New York / USA) and other sellers. At the same time, Insight will acquire approx. 37% of the shares in a yet to be formed holding entity, which will hold all shares in the Bigtincan entities, including Showpad. As a result of the proposed Transaction, Vector Capital will indirectly hold approx. 63% and Insight approx. 37% in the Bigtincan entities, including Showpad. Vector Capital will solely control Bigtincan and thus also Showpad post-closing. The proposed concentration concerns sales en-ablement software solutions. Affected industries: Software Publishing; Computer Programming Activities.
